Effective Date: The date you accept these Terms
These Affiliate Terms and Conditions (the “Agreement”) constitute a binding contract between you (“Affiliate,” “you,” or “your”) and NexusOdds LLC, a limited liability company (“NexusOdds,” “we,” “our,” or “us”), governing your participation in the NexusOdds affiliate program (the “Program”) administered via Rewardful.
By enrolling in the Program, clicking “Accept” or using your affiliate dashboard, you acknowledge you have read, understood, and agree to all provisions of this Agreement.
1.1 “Affiliate” – any individual or legal entity applying for and/or accepted into the Program.
1.2 “Affiliate Link” – a unique tracking URL assigned to you via Rewardful to promote NexusOdds.
1.3 “Customer” – an end user who, through your Affiliate Link, becomes a paying subscriber to NexusOdds.
1.4 “Qualifying Subscription” – any paid subscription commencing after Customer’s free trial, excluding refunds, chargebacks, or reversed transactions.
1.5 “Commission” – the fee payable to you calculated as 35% of Qualifying Subscription subscription payments received by NexusOdds for the life of the Customer subscription.
1.6 “Lifetime Commission” – continuous Commission as stipulated in Section 6, for the remaining duration of the Customer’s active subscription.
1.7 “Cookie Period” – 60-day window following Affiliate Link click during which Customer attribution remains valid.
1.8 “Program Dashboard” – your Rewardful interface to monitor referrals, commission earnings, and link performance.
1.9 “Prohibited Activity” – any promotional methods or practices restricted under Section 4 of this Agreement.
1.10 “Term” – the duration of this Agreement, from your acceptance until termination under Section 11.
2.1 Appointment. Subject to acceptance of your application, NexusOdds hereby appoints you as a non-exclusive affiliate to promote the NexusOdds service via your Affiliate Link during the Term.
2.2 Non-exclusive Relationship. You acknowledge your relationship with NexusOdds is non-exclusive and you are not an employee, partner, or agent of NexusOdds.
3.1 Age and Legal Eligibility. You represent and warrant that you are at least eighteen (18) years old and possess full legal authority to enter into this Agreement.
3.2 Information Accuracy. You must provide true, accurate, and complete details (including name, address, and valid PayPal email) during registration and maintain such data current at all times.
3.3 Acceptance. We reserve the right, in our sole discretion, to accept or reject any Affiliate application. Acceptance is communicated via access to the Program Dashboard.
3.4 Single Account. Each Affiliate is permitted only one Program account. Duplicate, multiple, or sub-domain accounts are prohibited.
4.1 Permitted Promotional Methods. Affiliates may promote NexusOdds using organic marketing materials, including legitimate blog posts, social media, email marketing, webinars, or videos, provided all other conditions of this Agreement are met.
4.2 Mandatory Disclosures. You must prominently disclose, in writing, your affiliate relationship whenever Affiliate Links are used, in compliance with FTC guidelines and similar statutes.
4.3 Prohibited Methods. Affiliates must not, directly or indirectly:
Violation of these rules constitutes material breach, triggering immediate termination and forfeiture of unpaid Commissions.
5.1 Compliance with Laws. Affiliates must abide by all applicable federal, state, and international laws, rules, regulations, including privacy, data protection, consumer protection, and advertising regulations.
5.2 Brand Integrity. All marketing must be truthful, not misleading, and consistent with NexusOdds’ brand guidelines.
5.3 Indemnification. Each Affiliate agrees to indemnify, defend, and hold NexusOdds harmless from all liabilities, losses, damages, or expenses arising out of or relating to Offeror’s breach of this Agreement, including third-party claims resulting from Affiliate’s misconduct or unauthorized marketing materials.
5.4 Confidentiality. Affiliates shall treat all non-public NexusOdds materials (e.g., creatives, performance data, policies) as confidential, refrain from disclosing them to third parties, and cease use upon termination of this Agreement.
6.1 Cookie Attribution. NexusOdds uses a first-click attribution model. Customers must click the Affiliate Link within the Cookie Period (60 days) to be eligible .
6.2 Lifetime Commission. Affiliates will receive 35% Commission on all Qualifying Subscription payments for the duration of the Customer’s active subscription, irrespective of whether the Customer renews, upgrades, or downgrades.
6.3 Commission Adjustment. NexusOdds reserves the right to adjust, withhold, or reverse Commissions in cases of returned payments, refunds, chargebacks, fraud, or other improper transactions.
6.4 Tracking Accuracy. NexusOdds provides reporting via Rewardful. While tracking inaccuracies are possible, NexusOdds is not responsible for errors beyond its reasonable control.
7.1 Currency & Method. All payments are in U.S. dollars, issued via PayPal to the email address provided in your Program Dashboard.
7.2 Payment Timing. Payments of approved Commissions are distributed monthly. There is no minimum payout threshold; all accrued Commissions will be paid out.
7.3 Responsibility for Fees. Affiliates are responsible for any PayPal or other transactional fees and any applicable tax obligations associated with payments.
8.1 Right to Amend. NexusOdds may modify this Agreement at any time, in its sole discretion, without advance notice by publishing a revised version on the Program Dashboard. Continued participation after such changes constitutes acceptance of the updated Agreement .
9.1 Term. The Agreement commences upon your acceptance and continues until terminated under Section 11.
9.2 Affiliate Termination. You may terminate this Agreement at any time by notifying NexusOdds or discontinuing use of your Affiliate Link.
9.3 NexusOdds Termination. NexusOdds may suspend or terminate your account immediately, without notice, for cause, including fraud, material breach, or reputational risk.
9.4 Survival. All accrued but unpaid Commissions due at termination shall be payable in the next payment cycle. Sections 4, 5, 6.3, 7, 9.4, 10, 11, 12, and 13 shall survive termination.
10.1 Affiliate Warranties. You represent and warrant that: (a) your promotional methods comply with this Agreement and applicable laws; (b) Affiliate Links will be used solely for the purpose of tracking Customer enrollment; (c) you have full authority to enter into and perform this Agreement.
10.2 Disclaimer. NexusOdds provides the Program, Affiliate Links, and reporting on an “AS IS” and “AS AVAILABLE” basis, without any express or implied warranty, including merchantability or fitness for a particular purpose .
10.3 Limitation of Liability. To the maximum extent permitted by law, NexusOdds shall not be liable for any indirect, incidental, special or consequential damages, including lost profits or revenue, even if NexusOdds was advised of such possibility.
11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, without respect to its conflict of laws principles.
11.2 Resolution of Disputes. Parties shall first attempt to resolve disputes informally. If unresolved within thirty (30) days, each may pursue mediation or binding arbitration, subject to the rules of the American Arbitration Association or equivalent body, as may be determined by NexusOdds.
12.1 Entire Agreement. This document constitutes the entire understanding relating to the Program and replaces all prior agreements.
12.2 Assignment. Affiliates may not assign or delegate any rights or obligations. NexusOdds may transfer or assign the Agreement at its discretion.
12.3 Severability. If any part of this Agreement is found unenforceable, the remainder will continue in full force and effect.
12.4 Waiver. Any waiver must be in writing and signed. Failure to enforce any provision does not constitute waiver.
